TERMS OF SERVICE

ENTERPRISE SOFTWARE EVALUATION & PARTNER ENGAGEMENT AGREEMENT

1. Proprietary Rights & Intellectual Property

Custos DSPM, including all associated binaries, source code, neural/heuristic classification patterns, database schemas, cryptographic integrity mechanisms, and documentation, is the exclusive intellectual property of GovernX (Pty) Ltd, registered in South Africa. All rights not expressly granted are reserved.

2. Software Evaluation & Commercial Proof-of-Value (POV) Terms

Commercial POV Scope & Prepayment: Evaluation deployments are provided under a structured 30-day Proof-of-Value (POV) for a turnkey fee of $15,000 USD (approx. R 280,000 ZAR), which must be paid over to GovernX first. Upon payment confirmation, the cryptographically signed 30-day evaluation key is generated and dispatched to the partner immediately. Deliverables include rapid in-place sensitive data discovery, automated cataloging, and an executive POPIA/NDPA and sovereign risk audit report.
Conversion Settlement & Billing Credit: Upon contract execution of an enterprise subscription within 60 days of POV completion, GovernX bills the partner for the software license MINUS the $15,000 POV prepayment, ensuring 100% credit pass-through.
Deliverables Retention: In all cases, the customer permanently retains the comprehensive sovereign audit deliverable, data discovery map, and statutory compliance gap assessment.
Channel Reseller Governance: Accredited channel partners and system integrators are governed under the executed Master Reseller Agreement (MRA) and confidential commercial schedules accessible exclusively within the authenticated Partner Portal.
Capacity Restrictions: Evaluator agrees not to exceed the licensed capacity tier or database nodes designated in the signed Ed25519 license key.
Anti-Tampering & Anti-Reverse Engineering: Evaluator and Partner shall not decompile, reverse engineer, disassemble, modify, or circumvent the cryptographic licensing, watermark canary, or runtime self-integrity checks embedded within Custos DSPM.

3. Channel Reseller & Partner Deal Registration

Certified Value-Added Resellers (VARs) and System Integrators must register prospective enterprise accounts through the official GovernX Partner Portal or via the official Enterprise Inquiries Form. Approved deal registrations guarantee partner commission protection and exclusive technical co-selling support during the active evaluation window.

4. Governing Law & Dispute Resolution

These terms and all software evaluation agreements are governed by the laws of the Republic of South Africa. Any disputes shall be submitted to the exclusive jurisdiction of the High Court of South Africa (Western Cape Division, Cape Town).
